These Terms & Conditions ("Terms") govern your access to and use of the website and services of CRB Solutions SIA, a company registered in the Republic of Latvia (European Union) under Reg. No. 50203608491, trading as "NORDBYT" ("NORDBYT", "we", "us" or "our"). By engaging our services or using this website you agree to these Terms.

1. Who we are — and what we are not

NORDBYT is a payments consultancy and a technology matching engine. We advise merchants and connect them with third-party financial institutions — acquiring banks, banks, payment service providers, alternative payment methods and crypto exchanges — and provide orchestration technology to route transactions between them.

We are not a bank, acquirer, electronic money institution, payment institution or other licensed financial institution. We do not hold, process, acquire or settle funds on your behalf, and we do not provide regulated payment services within the meaning of Directive (EU) 2015/2366 (PSD2). All regulated financial services are provided by the relevant third-party institution under its own agreement with you.

2. Eligibility

Our services are offered strictly on a business-to-business basis to legally constituted entities. By engaging us you confirm that you are authorised to act for your organisation, that your business is lawful in every jurisdiction in which it operates, and that the information you provide is accurate and complete.

3. Scope of engagement

The specific services, deliverables and commercial terms of each engagement are set out in a separate proposal, statement of work or order form. Where those documents conflict with these Terms, the engagement-specific document prevails for that engagement.

4. Your obligations

  • Provide accurate, current and complete information for due diligence, onboarding and underwriting.
  • Hold and maintain all licences, registrations and authorisations required for your activities.
  • Comply with the rules of card schemes, financial institutions and applicable law at all times.
  • Not use our services or introductions for any unlawful, fraudulent or prohibited purpose.

5. Third-party financial institutions

Introductions and matches are made on a best-efforts basis. We do not control the decisions of third-party institutions and give no guarantee that any application will be approved, that any account will be maintained, or that any specific rate, limit or settlement time will be achieved. Your relationship with each institution is governed by a separate agreement between you and that institution, to which NORDBYT is not a party.

6. Fees

Fees, payment terms and any applicable taxes are as stated in the relevant engagement document. Unless stated otherwise, invoices are payable within the period specified, and overdue amounts may accrue statutory interest under Latvian and EU law.

7. Intellectual property

All intellectual property in our website, technology, methodologies, documentation and materials remains the property of NORDBYT or its licensors. No rights are transferred except a limited, non-exclusive right to use deliverables for your internal business purposes during the engagement.

8. Confidentiality

Each party will keep confidential the non-public information disclosed by the other and use it only for the purposes of the engagement, except where disclosure is required by law or a competent authority.

9. Data protection

We process personal data in accordance with Regulation (EU) 2016/679 (GDPR) and our Privacy Policy, which forms part of these Terms.

10. Warranties & disclaimers

Services are provided with reasonable skill and care. To the fullest extent permitted by law, all other warranties, whether express or implied, are excluded. Our website and content are provided "as is" for general information and do not constitute financial, legal or regulatory advice.

11. Limitation of liability

To the extent permitted by law, NORDBYT is not liable for indirect, incidental or consequential loss, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you to NORDBYT for that engagement in the twelve months preceding the event giving rise to the claim. Nothing limits liability that cannot be excluded under applicable law.

12. Indemnity

You will indemnify NORDBYT against claims, losses and costs arising from your breach of these Terms, your business activities, or your breach of applicable law or the rules of any financial institution or card scheme.

13. Term & termination

Either party may terminate an engagement as set out in the relevant engagement document. We may suspend or terminate services immediately where required by law, by a financial institution, or where we reasonably suspect unlawful activity. Clauses intended to survive termination (including confidentiality, IP, liability and governing law) continue to apply.

14. Governing law & disputes

These Terms are governed by the laws of the Republic of Latvia and applicable European Union law. The courts of Latvia have exclusive jurisdiction, without prejudice to any mandatory consumer or statutory rights.

This Privacy Policy explains how CRB Solutions SIA, trading as NORDBYT, collects and processes personal data in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation, "GDPR") and applicable Latvian data protection law.

1. Data controller

The controller is CRB Solutions SIA, registered in the Republic of Latvia (EU), Reg. No. 50203608491. For any privacy matter, contact business@nordbyt.com.

2. Personal data we process

  • Identity & contact data — name, business email, telephone, job title and company details.
  • Business & onboarding data — company documents, ownership and information required for due diligence.
  • Communications — correspondence and records of your enquiries and our engagement.
  • Technical & usage data — IP address, device and browser data and website analytics.

3. Purposes & legal bases

We process personal data on the following legal bases under Article 6 GDPR:

  • Contract (Art. 6(1)(b)) — to respond to enquiries and provide our services.
  • Legal obligation (Art. 6(1)(c)) — to meet anti-money-laundering, tax and accounting requirements.
  • Legitimate interests (Art. 6(1)(f)) — to operate, secure and improve our business and website.
  • Consent (Art. 6(1)(a)) — for optional analytics, marketing cookies and communications.

4. Cookies & analytics

Our website uses strictly necessary cookies and, subject to your consent, analytics cookies. You can manage or withdraw consent at any time through your browser settings or our cookie controls.

5. Recipients & sharing

We may share personal data with third-party financial institutions with which you ask to be matched, with vetted processors acting on our instructions (e.g. hosting, IT and compliance tools), and with authorities where required by law. We do not sell personal data.

6. International transfers

Where personal data is transferred outside the European Economic Area, we rely on an adequacy decision or on appropriate safeguards such as the European Commission's Standard Contractual Clauses.

7. Retention

We keep personal data only as long as necessary for the purposes above. Due-diligence and transaction records are retained for at least five years to satisfy anti-money-laundering and accounting obligations, unless a longer period is required by law.

8. Your rights

Under the GDPR you have the right to access, rectification, erasure, restriction, portability and objection, and the right to withdraw consent at any time. You also have the right to lodge a complaint with your supervisory authority — in Latvia, the Data State Inspectorate (Datu valsts inspekcija). To exercise your rights, contact business@nordbyt.com.

9. Security

We apply appropriate technical and organisational measures to protect personal data against unauthorised access, loss or misuse, including access controls, encryption in transit and staff confidentiality obligations.

10. Automated decision-making & children

We do not make decisions producing legal effects based solely on automated processing. Our services are directed at businesses and are not intended for individuals under 18.

11. Changes

We may update this Privacy Policy from time to time. The current version is always published on this page with its effective date.

CRB Solutions SIA, trading as NORDBYT, is committed to preventing money laundering, terrorist financing and the circumvention of sanctions. This policy summarises the principles we apply across our consultancy and technology activities.

1. Regulatory framework

We align our controls with EU anti-money-laundering law — including Directives (EU) 2015/849, 2018/843 and 2018/1673 (AMLD4–6) — with the Latvian Law on the Prevention of Money Laundering and Terrorism and Proliferation Financing, and with the recommendations of the Financial Action Task Force (FATF).

2. Risk-based approach

We assess and document the money-laundering and terrorist-financing risk of each client, sector and geography, and apply controls proportionate to that risk. Higher-risk relationships receive enhanced scrutiny.

3. Customer due diligence (KYC / KYB)

  • Identify and verify the client entity, its directors and authorised representatives.
  • Identify beneficial owners (UBOs) and verify ownership and control structures.
  • Understand the nature, purpose and source of funds and wealth of the business relationship.
  • Apply enhanced due diligence (EDD) to high-risk clients, sectors and jurisdictions.

4. Sanctions & PEP screening

We screen clients and beneficial owners against applicable EU, UN and other relevant sanctions lists, and for politically exposed person (PEP) status, both at onboarding and on an ongoing basis.

5. Ongoing monitoring

We monitor business relationships throughout their lifecycle and keep due-diligence information current, reviewing it when circumstances change or risk indicators arise.

6. Record keeping

Due-diligence records and relevant documentation are retained for at least five years after the end of a business relationship, in line with EU and Latvian requirements.

7. Reporting suspicious activity

Where we know or suspect money laundering or terrorist financing, we report to the Financial Intelligence Unit of Latvia (FID) as required by law, and we do not "tip off" the person concerned.

8. Prohibited relationships

We will not knowingly work with anonymous or shell arrangements designed to obscure ownership, with sanctioned persons, or with businesses engaged in unlawful activity. We reserve the right to decline or terminate any relationship on financial-crime grounds.

9. Governance, training & cooperation

Responsibility for this policy sits with senior management, supported by a designated compliance officer. Relevant staff receive regular training, and we cooperate fully with competent supervisory and law-enforcement authorities. Questions may be sent to business@nordbyt.com.
